Item 5.02 Departure of Directors or Certain Officers; Election of Directors: Appointment of Certain Officers; Compensatory Arrangements of Certain Officers
On March 4, 2024, J. Edward Clary announced his intention to retire from his position as Executive Vice President, and Chief Information Officer of Haverty Furniture Companies, Inc. ("Havertys" or the "Company"). Mr. Clary's retirement date
is effective July 15, 2024. The Company filed a Current Report on Form 8-K on March 8, 2024.
On June 12, 2024, the Company executed an agreement (the “Agreement”) for services to be provided by Mr. Clary beginning with his retirement through December 31,
2024. The Agreement calls for two payments of $125,000 each on or before September 30, 2024, and December 31, 2024.
