Item 8.01 Other Events.

     On June 26, 2008, Grubb & Ellis Company (the “Company”) issued a press release announcing that its board of directors had declared a second quarter dividend of $0.1025 per share with respect to Company stockholders of record as of July 7, 2008. The dividend will be paid to the Company’s stockholders on or about July 22, 2008.

     A copy of the press release announcing the dividend is annexed hereto as Exhibit 99.1 and incorporated herein by reference.
