ITEM 2.02

REULTS OF OPERATIONS AND FINANCIAL CONDITION


Subsequent to the issuance of the press release discussing Coachmen Industries, Inc.’s fourth quarter results on January 30, 2007, certain final adjustments to the financial statements were made pursuant to the filing of the Company’s annual report on form 10-K.  These adjustments were primarily the result of the identification of additional deferred tax assets which required a 100% valuation allowance pursuant to SFAS 109.  These adjustments had no impact on cash or income taxes paid or currently payable and these deferred tax assets remain available for the Company to use to offset future state income taxes for a period of up to 20 years.  The attached revised press release has been updated to reflect these changes.
