<footnote id="F1">The reporting person received 965,151 shares of CSS common stock from a distribution made by Delv, L.P., a limited partnership in which the reporting person directly or indirectly owned all limited partnership interests.  This transaction involved only a change in the form of beneficial ownership from indirect to direct.</footnote>
<footnote id="F2">The reporting person sold all of the common stock of Delv, Inc., which held a 0.1 percent interest in Delv, L.P., which holds 500,000 shares of the Issuer&amp;apos;s common stock.  The 500 shares of CSS common stock indirectly held by Delv, Inc. through Delv, L.P. may be deemed to have been sold for $29.39 per share, subject to an adjustment based upon a valuation to be made by a financial consulting firm.  The reporting person made a gift to the purchasers (trusts for the benefit of family members of the reporting person) of the Delv, Inc. shares in order to fund the pruchase of such shares; the reporting person is not trustee of the trusts.</footnote>
<footnote id="F3">The reporting person sold his remaining 99.9 percent limited partnership interest in Delv, L.P. to a trust for the benefit of family members of the reporting person; the reporting person is not trustee of the trust.
