On April 5, 2004, Knight Ridder filed a revised Proxy Statement with the Securities and Exchange Commission to correct an error in the Proxy Statement that was mailed to you beginning on March 31, 2004.  A column labeled “Dec-03” was inadvertently omitted from the table immediately following the Company’s performance graph.  The table has been corrected, as reflected on page 23 of the enclosed Proxy Statement.
