(d) On December 12, 2013, the Board of Directors of Graybar Electric Company, Inc. (the “Company”) elected David A. Bender, District Vice President - Atlanta District, as a director to fill an existing vacancy on the Company’s Board of Directors, effective January 1, 2014.

LOUIS, Dec. 17, 2013 – Graybar, a leading distributor of electrical and communications products and related supply chain management and logistics services, announced the election of David Bender to the company’s Board of Directors. David currently serves as District Vice President of Graybar’s Atlanta regional operations.
