Item 8.01                Other Events

On May 11, 2011, the Company announced that its Board of Directors declared a regular quarterly cash dividend of $0.1875 per share, payable on June 30, 2011 to holders of record of its common stock at the close of business on June 9, 2011.  A copy of the Company’s press release issued on May 11, 2011 announcing the declaration of the dividend is filed herewith as Exhibit 99.1 and incorporated herein by reference.

Frontier Communications Corporation Declares Second-Quarter Dividend

STAMFORD, Conn. – May 11, 2011 – Frontier Communications Corporation (NYSE:FTR) announced today that its Board of Directors has declared a regular quarterly cash dividend payment of $0.1875 per share of common stock, payable on June 30, 2011 to holders of record of common stock at the close of business on June 9, 2011.
