               (b) On November 17, 2009, Michael T. Dugan, a member of the Board
          of Directors of Frontier  Communications  Corporation (the "Company"),
          informed the Company that he was resigning  effective  immediately  to
          focus on his new role as Chief  Executive  Officer  and  President  of
          Echostar Corporation.
