ITEM 1.01 ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT

On February 8, 2008, Southern Union Company (the “Company”) entered into a Remarketing Agreement with Lehman Brothers, Inc., as remarketing agent, and The Bank of New York Trust Company, N.A., not individually but solely as purchase contract agent and as attorney-in-fact of the holders of purchase contracts (the "Remarketing Agreement"), to remarket the aggregate principal amount of $100,000,000 of the Company’s 4.375% Senior Notes due February 16, 2010, which notes were originally issued in February 2005.  Pursuant to the remarketing, the interest rate on the notes was reset to 6.089% and the Company expects to settle the sale of such remarketed notes on February 19, 2008.  The foregoing description of the Remarketing Agreement is qualified in its entirety by reference to the Remarketing Agreement, which is attached hereto as Exhibit 10.1, and incorporated herein by reference.
