On April 28, 2020, Capital Properties, Inc. (the Registrant) held its 2020 Annual Meeting of Shareholders (the Meeting) in Providence, Rhode Island. Of the 6,599,912 shares of the Registrants Class A common stock outstanding as of the record date, 5,190,354 shares of Class A common stock were present or represented by proxy at the Meeting. At the Meeting, the shareholders voted to elect three directors to serve for terms of one year and until their successors are elected and qualified. The voting results from the Meeting were as follows:

Item 8.01 | Other Events |
At its regular quarterly meeting held on April 28, 2020, the Board of Directors decided to pass the regular quarterly dividend in light of the economic uncertainty arising from the COVID-19 pandemic. The Board of Directors intends to consider reinstituting the dividend at its meeting scheduled in July of 2020.
