On November 1, 2016, Harris Corporation (“Harris” or the “Company”) issued a press release announcing that it signed a definitive agreement to sell its Harris CapRock Communications commercial business to SpeedCast International Limited (the “Buyer”) for $425 million in cash. The transaction is subject to regulatory review and other customary closing conditions and is expected to close in the first quarter of calendar 2017. Harris intends to use the proceeds from the transaction to pay down debt and return cash to shareholders. Harris intends to continue to optimize its portfolio to become a more focused company positioned for long-term growth.
