(b) Pro forma financial information. The following unaudited pro forma consolidated condensed financial data presents the pro forma financial position of Dialysis Corporation of America ("DCA") at June 30, 2005, and the pro forma results of operation of DCA for the six months ended June 30, 2005. The merger of DCA and its parent company, Medicore, Inc. is being accounted for as a downstream merger, as if the surviving company is the parent. The pro forma financial statements give effect to the merger as if it had occurred at the end of the period for purposes of the consolidated condensed balance sheet and at the beginning of the period for purposes of the consolidated condensed statement of income. The unaudited pro forma consolidated condensed financial data is presented for illustration purposes only in accordance with the assumptions included in the pro forma adjustments set forth below. This information is not necessarily indicative of the operating results or of the financial position that would have occurred if the merger had been consummated as of the date or for the period indicated, nor is it necessarily indicative of the future operating results or financial position of DCA after the merger.
