Explanatory Note

This Form 8-K/A amends the Current Report on Form 8-K dated December 4, 2023, which was filed on December 4, 2023 and assigned SEC Accession No. 0001539497-23-002086 (the “Subject 8-K”). The purpose of this amendment is to make clerical and minor revisions to the agreement previously filed as Exhibit 4.7 to the Subject 8-K. No other changes are being made to the Subject 8-K.

Accordingly, Exhibit 4.7 of the Subject 8-K, which contained the pooling and servicing agreement, dated and effective as of December 1, 2023, among Barclays Commercial Mortgage Securities LLC, as depositor, Midland Loan Services, a Division of PNC Bank, National Association, as master servicer, LNR Partners, LLC, as special servicer, Computershare Trust Company, National Association, as certificate administrator and as trustee, and Park Bridge Lender Services LLC, as operating advisor and as asset representations reviewer (the “BBCMS 2023-5C23 Pooling and Servicing Agreement”), is hereby amended and restated in its entirety by the corrected version of the BBCMS 2023-5C23 Pooling and Servicing Agreement attached hereto as Exhibit 4.7.
