Closing of the Business Combination and Nasdaq Listing

On July 31, 2024, MKDWELL Tech Inc. (the “Company”) consummated its business combination pursuant to the Business Combination Agreement, dated as of June 20, 2023, with Cetus Capital Acquisition Corp. The ordinary shares and warrants of the Company are expected to be traded on The Nasdaq Stock Market LLC under the symbols “MKDW” and “MKDWW,” respectively.

On July 31, 2024, the Company issued a press release announcing the completion of the business combination. A copy of the press release is attached as Exhibit 99.1 to this current report on Form 6-K and is incorporated by reference herein.
