On February 23, 2004, Chesapeake Corporation issued a press release announcing that the company had amended and restated its $250-million senior bank credit facility. The amended senior credit facility includes other terms and conditions substantially similar to those in the previous facility but with improved pricing and more favorable financial covenants. The information contained in the press release, which is attached as Exhibit 99.1 to this report, is incorporated herein by reference. The second amended and restated credit agreement is attached as Exhibit 4.1 and is incorporated herein by reference.
