Item 8.01. Other Events.
On December 19, 2023, Bayview Acquisition Corp (the “Company”) consummated its initial public offering (“IPO”) of 6,000,000 units (the “Units”). Each Unit consists of one ordinary share of the Company, par value $0.0001 per share (the “Ordinary Shares”) and one right (the “Rights”), with each Right entitling the holder thereof to receive one-tenth of one Ordinary Share upon the completion of an initial business combination, subject to adjustment. The Units were sold at a price of $10.00 per Unit, generating gross proceeds to the Company of $60,000,000. We have also granted the underwriters a 45-day option to purchase up to an additional 900,000 units to cover over-allotments, if any.
Simultaneously with the closing of the IPO, the Company completed the sale of an aggregate of 232,500 private units to Bayview Holding LP and Peace Investment Holdings Limited (the “Sponsor Private Units”) at a purchase price of $10.00 per Sponsor Private Unit, generating gross proceeds to the Company of $2,325,000 for all Private Units.
A total of $60,000,000 of the proceeds from the IPO and the sale of the Sponsor Private Units were placed in a U.S.-based trust account at Bank of America maintained by Equiniti Trust Company, LLC, acting as trustee.
An audited balance sheet dated as of December 19, 2023, reflecting receipt of the proceeds upon consummation of the IPO and the sale of the Sponsor Private Units has been issued by the Company and is included as Exhibit 99.1 to this Current Report on Form 8-K.
