Item 2.02 Results of Operations and Financial Condition

On January 13, 2012, JPMorgan Chase & Co. (“JPMorgan Chase” or the “Firm”) reported 2011 fourth quarter net income of $3.7 billion, or $0.90 per share, compared with net income of $4.8 billion, or $1.12 per share, in the fourth quarter of 2010. A copy of the 2011 fourth quarter earnings release is attached hereto as Exhibit 99.1, and a copy of the earnings release financial supplement is attached hereto as Exhibit 99.2.
