Item 7.01 Regulation FD Disclosure.

 

On March 15, 2024, Binah Capital Group, Inc., a Delaware corporation (the “Company”), completed the Business Combination, pursuant to which Kingswood Acquisition Corp., a Delaware corporation (“KWAC”) became a direct wholly-owned subsidiary of the Company and Wentworth Management Services, LLC became a direct wholly-owned subsidiary of KWAC.

 

On March 19, 2024, the Company issued a press release announcing the consummation of the Business Combination. A copy of the press release is attached hereto as Exhibit 99.1.
