Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers
 
(b) Effective January 31, 2007, Donald K. Riker, Ph.D., resigned his position as Vice President of Research and Development and Chief Scientific Officer of Chattem, Inc. (the “Company”) in connection with his retirement from employment with the Company. Dr. Riker will continue his employment with the Company in a more limited capacity until his retirement on May 31, 2007 and will continue to provide consulting services to the Company through January 31, 2009 as requested by the Company. Dr. Riker’s responsibilities will be assumed by senior personnel in the Company’s research and development organization with extensive product development and industry experience.
