Item 8.01 Other Events.
On December 1, 2023, Gamer Pakistan Inc. (the “Company”) received written notice (the “Notice”) from the Nasdaq Stock Market, LLC (“Nasdaq”) indicating that the bid price for the Company’s common stock (the “Common Stock”), for the last 30 consecutive business days, had closed below the minimum $1.00 per share and, as a result, the Company was not in compliance with the $1.00 minimum bid price requirement for the continued listing on the Nasdaq Capital Market, as set forth in Nasdaq Listing Rule 5550(a)(2).
In accordance with the Nasdaq Listing Rule 5810(c)(3)(A), the Company has been provided a period of 180 calendar days, or until June 3, 2024, to regain compliance with the minimum bid price requirement. If at any time during the 180 day period the closing bid of the Common Stock is at least $1.00 for a minimum of ten consecutive business days, the Company will regain compliance. In the event the Company does not regain compliance during the 180 day period, it may be eligible for additional time.
The Company intends to actively monitor the closing bid price of its Common Stock and may, if appropriate, consider implementing available options to regain compliance with the minimum bid price under the Nasdaq Listing Rules. Among other things, the Company is exploring sports businesses that may supplement or modify its current sole focus on esports.
