Item 8.01. Other Events
As previously announced on December 23, 2019, Magellan Medicaid Administration, Inc. (“MMA”), a subsidiary of Magellan Health, Inc. (the “Company”), and the California Department of Health Services (“DHCS”) entered into a contract for the provision of pharmacy benefit administration services statewide following the issuance of a decision that upheld the contract award to MMA over a protest filed by an unsuccessful bidder. On February 17, 2020, the Company was notified that the unsuccessful bidder filed an action against DHCS in California state court seeking to overturn the protest decision and contract award (and identifying MMA as a “real party in interest”). The state court action is based on similar arguments that were previously unsuccessful at the administrative level. MMA will vigorously oppose the action in conjunction with DHCS’s defense of the unsuccessful bidder’s claims in the state court action. However, there can be no assurance that the unsuccessful bidder will not prevail in the state court action or that the state court action will not cause a delay in implementation of the contract.
