Item 8.01. Other Events.
Adjournment of Special Meeting of Stockholders
As previously announced, Redwoods Acquisition Corp. (the “Company” or “Redwoods”) called and provided a notice of a special meeting (the “Special Meeting”) to be held on March 8, 2024, at 10:00 a.m. Eastern time, as a virtual meeting, to consider and vote upon the matters described in the Company’s definitive proxy statement filed with the Securities and Exchange Commission (the “SEC”) on February 20, 2024 (the “Proxy Statement”).
On March 8, 2024, the Company convened the Special Meeting as scheduled and adjourned the Special Meeting without any business being conducted. As announced at the Special Meeting, it will be reconvened at 10:00 a.m. Eastern Time on March 22, 2024.
The Company’s stockholders will be able to attend the Special Meeting via live webcast at https://event.choruscall.com/mediaframe/webcast.html?webcastid=c6VxH4L2.
The Company plans to continue to solicit proxies from stockholders during the period prior to the Special Meeting. Only the holders of the Company’s common stock as of the close of business on February 16, 2024, the record date for the Special Meeting, are entitled to vote at the Special Meeting.
Reversal of Redemption Requests
In light of the adjournment of the Special Meeting, any stockholder who has previously tendered its shares for redemption and now decides that it does not want to redeem its shares, the stockholder may still withdraw the tender. If you delivered your shares for redemption to the transfer agent and decide prior to the vote at the Special Meeting (now scheduled for 10:00 a.m. Eastern time on March 22, 2024) not to redeem your public shares, you may request that the transfer agent return the shares (physically or electronically).
