EXPLANATORY NOTE
Zentek Ltd. (the “Registrant,” “Zentek”, “we,” or the “Company”) is filing this Amendment No. 2 on Form 40-F (“Amendment No. 2”) to the Company’s Annual Report on Form 40-F, dated June 29, 2022 (the “Original Form 40-F”) and as amended on July 18, 2022 (“Amendment No. 2”), to include (i) the audit report of McGovern, Hurley, Cunningham LLP with respect to the Company’s Audited Consolidated Financial Statements for the fiscal year ended March 31, 2021, and (ii) the consent of McGovern, Hurley, Cunningham LLP as Exhibit 99.7.
Except as set forth above, this Amendment No. 2 does not modify or update any of the disclosures in the Original Form 40-F. This Amendment No. 2 speaks as of the time of filing the Original Form 40-F and does not reflect events that may have occurred subsequent to such filing.
