Explanatory Note

On January 9, 2023, Gorilla Technology Group Inc., a Cayman Islands exempted company (the “Company”), issued a press release announcing that Dr. Evan Medeiros was appointed to the Company’s Board of Directors, effective January 9, 2023. Dr. Medeiros succeeds Tomoyuki Nii, who resigned from the Company’s Board of Directors concurrently with the appointment of Dr. Medeiros. The press release is furnished as Exhibit 99.1 to this report on Form 6-K.
