Explanation of Responses:
1. The sale of stock reflected in this Form 4 was effected pursuant to a Rule 10b5-1 trading plan entered into by the Reporting Person on November 30, 2023.
2. The price reported in Column 4 is a weighted average price. The shares were sold in multiple transactions on October 1, 2024 at prices ranging from $1.50 to $1.59, inclusive. The reporting person undertakes to provide to the issuer, any security holder of the issuer or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth in this Form 4.
3. The price reported in Column 4 is a weighted average price. The shares were sold in multiple transactions on October 2, 2024 at prices ranging from $1.50 to $1.51, inclusive. The reporting person undertakes to provide to the issuer, any security holder of the issuer or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares sold at each separate price within the range set forth in this Form 4.
4. Shares of the Issuer's Class V Common Stock may be exchanged for shares of the Issuer's Class A Common Stock on a one-for-one basis at the election of BT Assets in connection with the redemption of the same number of Common Units of BT HoldCo LLC pursuant to the BT HoldCo LLCA.
5. The reporting person is the sole member of BT Assets, Inc. and therefore may be deemed to beneficially own the reported securities.
