** This Amendment No. 2 to Schedule 13G is being filed to restate and replace Amendment No. 1, which was filed by the Reporting Person on March 11, 2024 and inadvertently reported beneficial ownership in excess of 10% as of February 29, 2024.  However, based on the updated Shares outstanding figure reported by the Issuer in its annual report on Form 10-K filed on April 1, 2024, the Reporting Person’s beneficial ownership was below 10% as of February 29, 2024, and therefore no amendment to Schedule 13G was required to be filed at that time.  The Reporting Person is filing this Amendment No. 2 to correct its beneficial ownership percentage as of February 29, 2024, which was below 5%, and thus after filing this Amendment No. 2, the Reporting Person is no longer subject to Section 13(d) with respect to the shares of Class A common stock of the Issuer.

The information required in the remainder of this cover page shall not be deemed to be “filed” for the purpose of Section 18 of the Securities Exchange Act of 1934 (“Act”) or otherwise subject to the liabilities of that section of the Act but shall be subject to all other provisions of the Act (however, see the Notes).

Ownership

Information with respect to the Reporting Person’s ownership of the shares of Class A common stock, par value $0.0001 per share (the “Shares”), as of March 31, 2024, is incorporated by reference to items (5) - (9) and (11) of the cover page for the Reporting Person.
 
The amount beneficially owned by the Reporting Person is determined based on 8,239,404 Shares outstanding as of February 16, 2024, following the conversion of all 7,528,875 shares of Class B common stock of the Issuer into Shares, on a one-for-one basis, on February 16, 2024, as disclosed in the Issuer’s annual report on Form 10-K filed with the Securities and Exchange Commission on April 1, 2024.
