Item 7.01 Regulation FD Disclosure.

On November 6, 2006, Ceradyne, Inc. issued a press release announcing that it has received two ceramic body armor delivery orders totaling $122.2 million from the U.S. Army, Aberdeen Proving Ground, Maryland.
