Item 8.01 Other Matters
On April 20, 2022, Lumen Technologies, Inc., engaged Alliance Advisors, LLC to provide pre and post record date planning services and to solicit proxies in connection with Lumen’s annual shareholders meeting scheduled for May 18, 2022 at a cost we anticipate will not exceed $17,500. These solicitations may be made personally or by mail, telephone, messenger, email, or other electronic transmission. Lumen will pay persons holding shares of common stock in their names or in the names of nominees, but not owning such shares beneficially, such as brokerages, banks and other fiduciaries, for the expense of forwarding solicitation materials to their principals. Lumen will pay all proxy solicitation costs.
