The securities to be registered hereunder are shares of beneficial interest (the “Shares”), of Valkyrie Bitcoin Miners ETF (the “Fund”), a series of Valkyrie ETF Trust II (the “Registrant”). An application for listing of the Shares of the Fund has been filed by The Nasdaq Stock Market LLC. A description of the Shares is contained in the Prospectus, which is a part of the Post-Effective Amendment No. 7 on Form N-1A (Registration Nos. 333-258722 and 811-23725), filed with the Securities and Exchange Commission on January 26, 2022.
