Item 8.01 Other Events.
On September 1, 2023, the Board of Directors (the “Board”) of Vacasa, Inc. (the “Company” or “Vacasa”) approved a one-for-twenty reverse stock split (the “Reverse Stock Split”) of the Company’s Class A Common Stock, Class B Common Stock and Class G Common Stock (collectively, the “Common Stock”).
As previously disclosed, at the Company’s Annual Meeting of Stockholders held on May 23, 2023, the Company’s stockholders approved a proposal authorizing the Board to amend the Company’s Certificate of Incorporation, as amended, to effect a reverse stock split of the Company’s Common Stock, at a ratio of not less than one-for-five and no more than one-for-twenty, as determined in the discretion of the Board, on or prior to May 23, 2024.
The Reverse Stock Split is expected to become effective on October 2, 2023, at 11:59 p.m. ET (the “Effective Date”), with shares of Class A Common Stock to begin trading on a split-adjusted basis at market open on October 3, 2023 under the existing symbol “VCSA” and new CUSIP number 91854V 206. In connection with the Reverse Stock Split, every 20 shares of Common Stock issued and outstanding as of the Effective Date will be automatically converted into one share of its respective class of Common Stock. No fractional shares of Common Stock will be issued as a result of the Reverse Stock Split. Instead, in lieu of any fractional shares, the Company will pay cash for each holder’s fractional shares in an amount equal to the closing sales price of the Class A Common Stock as reported on The Nasdaq Stock Market LLC on the Effective Date.
