Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangements of Certain Officers.

On April 11, 2024, Gerard G. Law submitted his resignation as a member of the board of directors of The Real Good Food Company, Inc. (the “Company”), effective immediately. Mr. Law has served as a director since June 2, 2021. Mr. Law’s resignation was not the result of any dispute or disagreement with the Company on any matter relating to the operations, policies or practices of the Company.
