Note 14  Related Party Transactions

Parties are considered to be related if one party has the ability to control or exercise significant influence over the other party in making financial or operating decisions. The Company used the proceeds (net of underwriting discounts) from the issuance of 5,526,607 million shares in the IPO ($87.8 million) to purchase an equivalent number of Common Units from the Company’s Pre-IPO Common Unitholders.

Concurrent with the completion of the IPO, the Company entered into a Tax Receivable Agreement with certain of its Pre-IPO Owners.
