Effective May 24, 2024 (the “Effective Date”), Christopher Harms is no longer serving as Chief Financial Officer and principal financial and accounting officer of Amplitude, Inc. (the “Company”). His departure from the Company is not the result of any dispute or disagreement with the Company’s accounting principles or practices or financial statements and disclosures. The Company has initiated a search for a new Chief Financial Officer.

On May 24, 2024, the Company issued a press release announcing the change described in Item 5.02 and reaffirming its financial outlook for the second quarter and full year of 2024. A copy of the press release is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.
