Transaction Overview Warrants and interest earned in the trust account are excluded. ESGEN LLC (ESGEN’s “Sponsor”) and certain of ESGEN’s other initial shareholders have entered into letter agreements to vote in favor of the Business Combination, regardless of how ESGEN’s public shareholders vote.
