Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 2, 2023, the holder of a majority of the outstanding shares of the common stock of a.k.a. Brands Holding Corp. (the “Company”), by written consent, removed Simon Beard, without cause, as a director from the Board of Directors of the Company (the “Board”) and as a director from the Board of Directors of the Company's subsidiaries, effective immediately. In connection with Mr. Beard’s removal, and pursuant to the Company’s Amended and Restated Certificate of Incorporation, the Board intends to reduce the size of the Board from nine to eight members in order to eliminate the vacancy in Class II Directors caused by Mr. Beard’s removal.
