Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

 

The information under Item 8.01 regarding the delisting by the New York Stock Exchange American (“NYSE American”) is incorporated into this Item 3.01 by reference.

 

Item 8.01. Other Events.

 

On September 27, 2024, Ault Disruptive Technologies Corporation (the “Company”) issued a press release announcing that it will redeem all of its outstanding shares of common stock, par value $0.001 per share (the “Common Stock”), effective as of the close of business on October 11, 2024, because the Company will not consummate an initial business combination within the time period required by its Amended and Restated Certificate of Incorporation, as amended. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

 

The Company expects that the last day of trading of the Common Stock and units of the Company on the NYSE American will be October 10, 2024, following which the Company expects that the NYSE American will file a Form 25 with the United States Securities and Exchange Commission (the “Commission”) to delist its securities on or about October 11, 2024. The Company thereafter expects to file a Form 15 with the Commission to terminate the registration of its securities under the Securities Exchange Act of 1934, as amended.
