Item 8.01Other Events.

 

On May 8, 2023, Rigel Resource Acquisition Holding LLC deposited an aggregate of $3,000,000 into Rigel Resource Acquisition Corp.’s (the “Company”) trust account for the Company’s public shareholders, representing $0.10 per public share, which enables the Company to extend the period of time it has to consummate its initial business combination by three months, from May 9, 2023 to August 9, 2023 (the “Extension”). The Extension is the first of up to two three-month extensions permitted under the Company’s governing documents.
