Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective March 20, 2024, the board of directors (the “Board”) of 2seventy bio, Inc. (the “Company”), upon the recommendation of the Board’s nominating and corporate governance committee, appointed Eli Casdin to the Board as a Class III director and Charles Newton to the Board as a Class I director.

In connection with the appointment, on March 20, 2024, the Company granted to each of Mr. Casdin and Mr. Newton a stock option to purchase up to 33,400 shares of the Company’s common stock, par value $0.0001 per share (“Common Stock”), at a purchase price equal to the closing price per share of the Common Stock on the Nasdaq Global Select Market on March 20, 2024. Each of Mr. Casdin and Mr. Newton was also granted restricted stock units for 16,600 shares of Common Stock. The stock options and restricted stock units vest ratably over three years in annual installments from the date of grant, subject to continued service through the applicable vesting date.

Neither Mr. Casdin nor Mr. Newton is a party to any transaction with the Company that would require disclosure under Item 404(a) of Regulation S-K, and there are no arrangements of understandings between either of Mr. Casdin or Mr. Newton and any other persons pursuant to which he was elected as a director.

Item 8.01 Other Events.

On March 20, 2024, the Company issued a press release announcing the appointment of Mr. Casdin and Mr. Newton to the Board. The press release also discloses that Engine Capital LP, one of the Company’s stockholders, nominated two candidates, Robert Frankfurt and David Sgro, for election to the Board at the Company’s 2024 annual meeting of stockholders. A copy of this press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
