Item 2.02. Results of Operations and Financial Condition.
On May 8, 2024, Bridge Investment Group Holdings Inc. (the “Company”) issued a press release announcing its financial results for the quarter ended March 31, 2024. A copy of the press release and earnings presentation is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
The information furnished pursuant to this Item 2.02 and the attached Exhibit 99.1 shall not be deemed filed for purposes of Section 18 of the Securities Exchange Act of 1934 or otherwise subject to the liabilities of that section, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, except as shall be expressly set forth by specific reference in such filing.
Item 5.07. Submission of Matters to a Vote of Security Holders.
On May 3, 2024, the Company held its Annual Meeting of Stockholders (the “Meeting”). Holders of the shares of the Company’s Class A common stock were entitled to one vote per share held as of the close of business on March 8, 2024 (the “Record Date”) and holders of the shares of the Company’s Class B common stock were entitled to ten votes per share held as of the Record Date. Holders of the shares of Class A common stock and holders of the shares of Class B common stock voted together as a single class on all matters considered and voted upon at the Meeting (including the election of directors), each of which were described in the Company’s Definitive Proxy Statement filed with the Securities and Exchange Commission on March 21, 2024.
The number of votes cast for and against and the number of votes withheld, abstentions and broker non-votes, as applicable, with respect to each matter voted upon at the Meeting are set forth below. Voting results are, when applicable, reported by rounding fractional share voting down to the nearest round number.
Proposal 1 – Election of Adam O’Farrell, Dean Allara, and Chad Leat as Class III Directors to serve until the 2027 Annual Meeting of Stockholders, and until their respective successors shall have been duly elected and qualified.
