Item 8.01 Other Events.

 

On August 2, 2024, Dermata Therapeutics, Inc. (the “Company”) increased the maximum aggregate offering price of the shares of the Company’s common stock, par value $0.0001 per share (“Common Stock”) issuable under the At The Market Offering Agreement (the “Sales Agreement”) with H.C. Wainwright & Co., dated June 7, 2024, by $505,000 for an aggregate amount of $1,662,761. The Company previously sold $1,157,247.99 of shares of Common Stock pursuant to the Sales Agreement to date, and filed a prospectus supplement (the “Current Prospectus Supplement”) under the Sales Agreement for an aggregate of $505,000. A copy of the legal opinion as to the legality of the $505,000 of shares of Common Stock issuable under the Sales Agreement and covered by the Current Prospectus Supplement is filed as Exhibit 5.1 attached hereto.
