Item 5. Other Events.

           On January 6, 2004 Centex Corporation announced that Laurence E. Hirsch, its Chief Executive Officer and Chairman of the Board, will retire from both positions effective March 31, 2004, and that Timothy R. Eller, its President and Chief Operating Officer, has been elected by its Board of Directors to succeed Mr. Hirsch. A copy of the Corporation’s press release is attached as Exhibit 99.1 hereto and incorporated by reference.
