Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 4, 2024, Fred Colen notified the Board of Directors (the “Board”) of Volato Group, Inc. (the “Company”) of his intention to resign as a director of the Board, effective immediately. Mr. Colen’s resignation is not the result of any dispute or disagreement with the Company or the Company’s Board on any matter relating to the operations, policies, or practices of the Company.

The Board and Company thank Mr. Colen for his service.
