     KNOW ALL MEN BY THESE PRESENTS, that the undersigned has constituted, made
and appointed, and by these presents does make, constitute and appoint, Gregory
Eiford and Linda Palmer, or any of them, or any replacement or designee thereof,
the undersigned's true and lawful Attorneys-in-Fact, who may do for the
undersigned and on the undersigned's behalf all of the following:

     To execute and deliver any filings made with respect to the undersigned
under Sections 13 and 16 of the Securities Exchange Act of 1934, as amended, as
filed relating to the securities of TC Bancshares, Inc., a Georgia corporation.
