(1) The securities are held directly by Pyrophyte Acquisition LLC (the “Sponsor”). The Sponsor is managed by a board of managers consisting of Sten L. Gustafson, Bernard Duroc-Danner and Thomas W. Major. Any action by our Sponsor with respect to the Issuer or the Class B Ordinary Shares, par value $0.0001 per share (“Class B Ordinary Shares”), including voting and dispositive decisions, requires a majority vote of the managers of the board of managers. Under the so-called “rule of three,” because voting and dispositive decisions are made by a majority of the Sponsor’s managers, none of the managers of the Sponsor is deemed to be a beneficial owner of the Sponsor’s securities, even those in which such manager holds a pecuniary interest.

 

(2) The Sponsor owns 5,031,250 Class B Ordinary Shares of the Issuer, which are convertible for the Issuer’s Class A Ordinary Shares, par value $0.0001 (“Class A Ordinary Shares”) as described under the heading “Description of Securities” in the Issuer’s registration statement on Form S-1 (File No. 333-260041) (the “Registration Statement”) and have no expiration date.

 

(3) Excludes 10,156,250 Class A Ordinary Shares issuable upon the exercise of 10,156,250 private placement warrants of the Issuer. Each warrant is exercisable to purchase one Class A ordinary share at $11.50 per share, subject to adjustment, becomes exercisable beginning 30 days after the completion of the Issuer’s initial business combination and expires five years after the completion of the Issuer’s initial business combination or earlier upon redemption or liquidation, each as is described under the heading “Description of Securities—Warrants” in the Registration Statement.
