Item 8.01.

Other Events.

Form of Non-Redemption Agreement

On June 17, 2024, Target Global Acquisition I Corp. (the “Company”) filed a definitive proxy statement on Schedule 14A (File No: 001-41135) (“Proxy Statement”) for the purposes of calling a special meeting of the Company’s stockholders (the “Meeting”) to, among other things, (i) approve an extension of time for the Company to consummate an initial business combination to December 9, 2024 and to allow the Company, without another shareholder vote, to elect to further extend the date by which the Company must consummate an initial business combination on a monthly basis for up to six times by an additional one month each time after December 9, 2024, by resolution of the Company’s board of directors (the “Board”), if requested by the Company’s Chief Executive Officer and approved by the Board, until June 9, 2025 (the “Extension Amendment”), and (ii) amend that certain investment management trust agreement, dated December 8, 2021, as amended, by and between the Company and Continental Stock Transfer & Trust Company, as trustee, to effectuate the Extension Amendment.

In connection with the Meeting, the Company and CIIG Management III LLC (the “Sponsor”) intend to enter into non-redemption agreements (the “Non-Redemption Agreements”) with one or more unaffiliated third-party shareholders of the Company in exchange for such shareholders agreeing to not redeem (or validly rescind any redemption requests on) a to-be-determined number of Class A ordinary shares, par value $0.0001 per share (the “Non-Redeemed Shares”) at the Meeting. In exchange for the foregoing commitment to the Company to not redeem the Non-Redeemed Shares, the Company anticipates agreeing to issue, or cause to be issued, to such shareholders, for every 100,000 Non-Redeemed Shares, 15,000 shares of Class A ordinary shares for the first six months of extension, and 2,500 additional Class A ordinary shares for each additional month of extension, up to five additional months (such shares, the “Promote Shares”) upon closing of the initial business combination, and the Sponsor anticipates agreeing to surrender and forfeit, for no consideration, a number of shares of Class A ordinary shares par value $0.0001 per share, of the Company equal to the number of Promote Shares upon closing of the initial business combination.

The Non-Redemption Agreements shall terminate on the earlier of (i) the failure of the Company’s shareholders to approve the Extension at the Meeting, or the determination of the Company not to proceed to effect the Extension (ii) the fulfillment of all obligations of parties to the Non-Redemption Agreements, (iii) the liquidation or dissolution of the Company, (v) the mutual written agreement of the parties or (vi) a date to be agreed between the parties thereto.

The Non-Redemption Agreements, if entered into, are not expected to increase the likelihood that the Extension Proposal is approved by the Company’s stockholders, but are expected to increase the amount of funds that remain in the Company’s trust account established in connection with Company’s initial public offering following the Meeting. The Company and the Sponsor may enter into additional, similar non-redemption agreements in connection with the Meeting.

The foregoing summary of the Non-Redemption Agreements does not purport to be complete and is qualified in its entirety by reference to the form of Non-Redemption Agreement attached hereto as Exhibit 10.1, which is incorporated herein by reference.

Postponement of the Extraordinary General Meeting

On June 25, 2024, the Company issued a press release announcing that it intends to postpone the EGM, scheduled to occur on Wednesday, June 26, 2024 at 12:00 p.m., Eastern Time, until Monday, July 1, 2024, at 12:00 p.m., Eastern Time. The EGM will still be held in person at Orrick, Herrington & Sutcliffe LLP, 51 West 52nd Street, New York, NY 10019. The EGM is being held to vote on the proposals described in the Company’s definitive proxy statement, filed with the U.S. Securities and Exchange Commission (the “SEC”) on June 17, 2024. The deadline by which shareholders must exercise their redemption rights in connection with the EGM has been extended to Thursday, June 27, 2024, at 5:00 p.m., Eastern Time, which is two business days prior to the EGM.
