Item 8.01. Other Events.
On August 26, 2024, Achari Ventures Holdings Corp. I (the “Company”) announced that the extraordinary general meeting of the Company’s stockholders (the “Special Meeting”), which had been scheduled for 1:00 p.m. Eastern Time on August 26, 2024, was adjourned, and will recommence at 2:00 p.m. Eastern Time on September 10, 2024, via a virtual meeting live webcast at https://www.cstproxy.com/acharivc/bc2024.
The Special Meeting is being held for the purpose of considering and voting on, among other related business, certain proposals, including with respect to approval of the transactions (the “Business Combination”) contemplated by that certain Business Combination Agreement, dated as of December 6, 2023 (the “Business Combination Agreement”), by and among Achari, Achari Merger Sub, Inc., a Delaware corporation and a wholly owned subsidiary of Achari (“Merger Sub”), and Vaso Corporation, a Delaware corporation (“Vaso”), among other items. The proposals and related matters are described in more detail in the definitive proxy statement related to the Special Meeting filed by the Company with the Securities and Exchange Commission (the “SEC”) on August 7, 2024 as amended to date (the “Definitive Proxy Statement”).
The record date for the Special Meeting remains the close of business on August 8, 2024.
