Item 8.01 Other Events.

On January 18, 2022, Andretti Acquisition Corp. (the “Company”) consummated its initial public offering (the “IPO”) of 23,000,000 units (the “Units”), including the issuance of 3,000,000 Units as a result of the underwriters’ exercise of their over-allotment option in full. Each Unit consists of one share of the Company’s Class A ordinary shares, par value $0.0001 per share (the “Class A Ordinary Share”), and one-half of one redeemable public warrant of the Company (each whole warrant, a “Public Warrant”), with each whole warrant entitling the holder thereof to purchase one whole Class A Ordinary Share at a price of $11.50 per share, subject to adjustment as provided in the Company’s registration statement on Form S-1, initially filed with the Securities and Exchange Commission on March 23, 2021 (File No. 333-254627) (as amended, the “Registration Statement”). The Units were sold at a price of $10.00 per unit, generating gross proceeds to the Company of $230,000,000.

On January 18, 2022, simultaneously with the consummation of the IPO, the Company completed the private sales (the “Private Placements”) of an aggregate of 13,550,000 warrants (the “Private Placement Warrants”) to Andretti Sponsor LLC and SOL Verano Blocker 1 LLC at a purchase price of $1.00 per Private Placement Warrant, generating gross proceeds to the Company of $13,550,000.

The net proceeds from the IPO, together with certain of the proceeds from the Private Placement, $235,750,000 in the aggregate (the “Offering Proceeds”), which amount includes $8,050,000 of the underwriters’ deferred discount, were placed in a U.S.-based trust account maintained by Continental Stock Transfer & Trust Company, acting as trustee.

An audited balance sheet as of January 18, 2022 reflecting receipt of the proceeds upon the consummation of the IPO and the Private Placements have been issued by the Company and is included as Exhibit 99.1 to this Current Report on Form 8-K.
