CONTENTS

 

On July 25, 2024, REE Automotive, Ltd. (the “Company”) executed a strategic non-binding offer letter (the “Offer Letter”) with a leading global supplier in the automotive space (the “Strategic Party”) to leverage its extensive experience and capabilities to deliver value to the Company by contributing highly experienced teams to drive operational improvements of the Company’s production line based on the Strategic Party’s manufacturing sites around the world. In addition, the Strategic Party will provide supply chain management enabling insights into the global supply chain and a knowledge base that can help improve sourcing for the Company. The parties believe this support can benefit the Company in working capital improvements, improving productivity and cost structure, improvement of lead time, better contractual terms and possibly with the objective to supporting production scale-up while freeing up resources for engineering and future innovation. In addition, the Strategic Party intends to leverage its network and engage with truck original equipment manufacturers to advocate for adoption of the Company’s corner modules. As part of the strategic alignment between the parties, the Strategic Party intends to purchase $10 million of the Company’s securities at a price per share of $4.12 (which was the 30-day volume-weighted average price as of the date of the Offer Letter). The Offer Letter has been approved by the Boards of Directors of both parties and is subject to the negotiation and execution of a definitive agreement, which shall include customary closing conditions, and satisfactory due diligence. As such, there is no guarantee that the transactions contemplated by the Offer Letter will occur.
