State below in reasonable detail why Form 10-K, 20-F, 11-K, 10-Q, 10-D, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

Vector Acquisition Corporation II (the “Company”) has determined that it is unable, without unreasonable effort or expense, to file its Form 10-Q for the fiscal quarter ended March 31, 2021 (the “Form 10-Q”) by the prescribed due date for the reasons described herein.

On April 12, 2021, the staff of the Securities and Exchange Commission (the “SEC” ) issued a public statement entitled “ Staff Statement on Accounting and Reporting Considerations for Warrants issued by Special Purpose Acquisition Companies” (“SPACs” ) (the “ Statement” ). In the Statement, the SEC staff expressed its view that certain terms and conditions common to SPAC warrants may require the warrants to be classified as liabilities on the SPAC’s balance sheet as opposed to equity. The Statement has resulted in a significant number of SPACs re-evaluating the accounting treatment for their warrants with their professional advisors, including auditors and other advisors responsible for assisting SPACs in the preparation of financial statements. Although the Company has not issued any warrants, the support the Company receives from its professional advisors has been limited and delayed and has impacted the Company’s ability to complete its financial statements for the fiscal quarter ended March 31, 2021, which will be included in the Form 10-Q. The Company expects to file the Form 10-Q on or before the fifth calendar day following the prescribed due date.
