Waldencast Receives Positive Nasdaq Listing Determination

On February 22, 2024, Waldencast plc (the “Company”) received a determination from the Nasdaq Hearings Panel (the “Panel”) granting the Company’s request for continued listing on The Nasdaq Stock Market LLC (“Nasdaq”), subject to the Company’s filing the interim financial statements for the six-month period ended June 30, 2023 with the Securities and Exchange Commission by April 1, 2024, and the Company’s continued compliance with all other applicable criteria for continued listing on Nasdaq. The Company is diligently working to evidence compliance with the terms of the Panel’s decision as soon as practicable and in any event by no later than April 1, 2024, however there can be no assurance that the Company will be able to do so within the prescribed timeline.

On February 26, 2024, the Company issued a press release announcing the Panel’s listing determination. A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
